1. Introduction and Acceptance 

These Membership Terms and Conditions (“Agreement”) govern your membership at The Ivy Lounge Wellness (“Ivy Lounge,” “we,” “us,” or “our”), located at 825 W Royal Ln, Suite 230, Irving, TX 75039. By enrolling in any membership tier, you (“Member”) agree to be bound by this Agreement in its entirety. 

Ivy Lounge operates under the medical direction of Dr. Jalil Khan, MD. All wellness services are provided by licensed clinical staff including nurse practitioners (“NP”) and registered nurses (“RN”) operating in compliance with Texas Occupations Code, Chapter 301 (Nursing Practice Act) and Chapter 157 (Authority of Physicians to Delegate Certain Medical Acts). 

This Agreement, together with the Billing Authorization and Auto-Charge Consent Form, Refund and Dispute Policy, and any applicable tier-specific addenda, constitutes the entire agreement between you and Ivy Lounge with respect to membership. 

2. Definitions 

• “Billing Date” means the monthly anniversary of your original enrollment date on which recurring charges are processed. 

• “Billing Cycle” means the period from one Billing Date to the next. 

• “Credit” means a service entitlement included in your membership tier (e.g., drip credit, shot credit, guest pass, NAD+ session) that may be redeemed for eligible services. 

• “Founders’ Rate” means the discounted monthly rate available to the first fifty (50) enrolling members, as described in Section 19. 

• “Good Standing” means a membership with no outstanding balance and no unresolved violations of this Agreement. 

• “NP Wellness Consult” means a non-diagnostic wellness consultation with the on-site Nurse Practitioner, as described in Section 20. 

• “Quick Sip” refers to the Essentials-tier IV drip, which is the entry-level drip on the Ivy Lounge menu. 

3. Membership Tiers and Monthly Rates 

Ivy Lounge offers four (4) membership tiers. Monthly rates are as follows: 

*Founders’ Rate is available to the first fifty (50) enrolling members only. See Section 19 for complete Founders’ Rate terms. 

4. Enrollment and Commencement 

Membership begins on the date of enrollment and the first payment is processed on that date. Subsequent monthly billing cycles commence on the same calendar date each month (“Billing Date”). If your Billing Date falls on a day that does not exist in a given month (e.g., the 31st), billing will occur on the last day of that month. 

To enroll, you must: 

1. Be at least eighteen (18) years of age. 

1. Complete all required intake and consent documents. 

1. Provide a valid payment method and authorize a one-dollar ($1.00) card authorization hold to verify card validity. This hold is released automatically and is not a charge. 

1. Receive or waive an initial wellness screening as directed by clinical staff. 

1. Select your membership tier and, for NAD+ Protocol members, your dose tier. 

1. Execute the Billing Authorization and Auto-Charge Consent Form. 

Enrollment is not complete until the first payment is successfully processed. A failed initial payment voids the enrollment. 

5. Minimum Commitment 

All membership tiers require a minimum commitment of three (3) full billing cycles. Members may not cancel their membership before the completion of three (3) consecutive monthly billing periods from the date of enrollment. This minimum commitment applies regardless of membership tier, Founders’ Rate status, or any other factor. 

After the minimum commitment period, members may cancel in accordance with Section 16. 

6. Monthly Auto-Charge and Payment 

By enrolling, you authorize Ivy Lounge to automatically charge your designated payment method for the applicable monthly membership fee on each Billing Date. This authorization remains in effect until your membership is cancelled in accordance with Section 16 of this Agreement. 

You are responsible for maintaining a valid, current payment method on file at all times. Changes to your payment method must be submitted at least five (5) business days before your next Billing Date to take effect for that billing cycle. 

All charges are processed in U.S. dollars. Membership fees are non-refundable once the billing cycle has commenced, except as expressly provided in the Refund and Dispute Policy. 

7. Payment Failure and Grace Period 

If a scheduled payment is declined or fails to process on the Billing Date: 

• The membership will be suspended immediately. All membership benefits, credits, and discounts are inaccessible during suspension. 

• Ivy Lounge will notify the Member via email and text message on the date of the failed payment. 

• The Member has seven (7) calendar days from the date of the failed payment (the “Grace Period”) to update their payment method and resolve the outstanding balance. 

• During the Grace Period, services may be purchased at full retail price only. No membership benefits or credits may be redeemed. 

• If payment is successfully processed within the Grace Period, the membership reactivates immediately. All credits for the current billing cycle are reinstated. Founders’ Rate, if applicable, is preserved. 

• If payment is not resolved by the end of the Grace Period (Day 8), the membership is automatically cancelled. All unused credits expire. Founders’ Rate, if applicable, is permanently lost and cannot be reinstated. 

Additional notifications will be sent on Day 4 and Day 6 of the Grace Period as reminders. 

8. Membership Benefits — Drip Club ($129/mo)

11. Membership Benefits — NAD+ Protocol ($479/mo) 

The NAD+ Protocol is a clinical longevity membership structured around dose-tiered NAD+ infusion sessions. All NAD+ Protocol members pay the same monthly rate ($479/mo) regardless of dose tier. The number of sessions per month varies by dose tier as follows:

11.1 NAD+ Dose Tier Selection and Changes 

Members select their dose tier at the time of enrollment. To change dose tiers, members must submit a formal written request at least five (5) business days before the next Billing Date. Dose tier changes take effect at the start of the next billing cycle. No mid-cycle dose tier changes are permitted. 

Max Protocol (500 mg) enrollment or upgrade requires prior Medical Director approval and documented prior tolerance on file. 

12. Service Credits — Loading, Usage, and Expiration 

Credits are loaded in full at the start of each billing cycle. Credits are personal, non-transferable, and have no cash value. Credits may not be exchanged for cash or applied to any service other than the designated credit type. 

The following general expiration rules apply unless otherwise specified in the tier-specific sections above: 

• Shot credits expire at the end of the billing cycle in which they were loaded. No rollover. 

• Drip credits: one (1) unused drip credit may roll over to the next billing cycle. Any rolled-over credit expires at the end of that following cycle. Maximum of one (1) rollover drip credit at any time. 

• NAD+ sessions: one (1) unused session may roll over per billing cycle. All other unused sessions expire. The maximum sessions held at any time is the monthly session count plus one (1) (the “Rollover Cap,” as defined per dose tier in Section 11). 

• NAD+ Protocol supporting drip credit: maximum of two (2) credits held at any time. First-in, first-out (FIFO) expiration applies — the oldest credit expires first when the cap is reached. 

• Guest pass (Ivy Elite only): expires at the end of the calendar month. No rollover. 

• Birthday perk: available during the Member’s birthday month only. Expires at the end of the birthday month if not redeemed. Does not roll over. 

Only the named Member may redeem credits. The sole exception is the Ivy Elite guest pass, which may be redeemed by the Member’s designated guest. 

13. Member Discounts 

Members receive a percentage discount on additional services purchased beyond their included monthly credits. Discounts apply to retail pricing and are calculated at the point of sale. 

Discounts do not apply to: membership fees, no-show or late cancellation fees, third-party products, or any service explicitly excluded above. Member discounts cannot be combined with promotional offers, package pricing, or any other discount unless expressly authorized by Ivy Lounge management. The Founders’ Rate discount applies only to the monthly membership fee and does not affect service-level discounts. 

14. Membership Upgrade and Downgrade 

14.1 Upgrades 

Members may upgrade to a higher membership tier at any time by notifying Ivy Lounge in writing. Upgrades take effect immediately upon request. The following applies: 

• A prorated charge will be assessed for the remaining days in the current billing cycle at the price difference between the current tier and the new tier. 

• Credits already used in the current cycle count toward the new tier’s monthly allowance. 

• Any unused credits from the prior tier retain their original tier level — they do not convert to the higher tier. 

• New tier benefits (including discount rate, NP consult access, and guest pass if applicable) are available immediately upon upgrade. 

• A new Billing Authorization Form and Membership Upgrade Acknowledgment must be executed at the time of upgrade. 

14.2 Downgrades 

Members may downgrade to a lower membership tier by providing written notice at least five (5) business days before the next Billing Date. Downgrades take effect at the start of the next billing cycle. The following applies: 

• The Member retains full access to current-tier benefits through the end of the current billing cycle. 

• Any unused credits at the time of downgrade retain their original tier level until the end of the current cycle. 

• New (lower) tier credits load at the start of the next billing cycle. 

• A new Billing Authorization Form reflecting the updated monthly amount must be executed. 

14.3 Founders’ Rate at Upgrade or Downgrade 

Founders’ Rate is preserved through any upgrade or downgrade. The $10/month discount applies to the standard rate of whatever tier the Member is on at any given time. 

15. Membership Freeze (Pause) 

Members in Good Standing may request a membership freeze. The following conditions apply: 

• Maximum freeze duration: sixty (60) calendar days per membership anniversary year (not calendar year). The membership anniversary year begins on the date of original enrollment and resets annually on that date. 

• Freeze may be taken as one (1) block of sixty (60) days or two (2) blocks of thirty (30) days each. No other combinations are permitted. 

• Freeze requests must be submitted in writing at least five (5) business days before the next Billing Date. 

• Documentation is required for medical, pregnancy, or extended travel freezes (e.g., physician note, travel itinerary). 

• During a freeze period: monthly billing is suspended; no credits are issued; no membership benefits are accessible; existing unused credits are paused. 

• Upon unfreeze: billing resumes from the unfreeze date; paused credits are reinstated with their original validity reset; the billing cycle date resets to the unfreeze date. 

• Founders’ Rate is preserved during any freeze period. 

• Freeze days do not count toward the minimum commitment period (Section 5). 

16. Cancellation 

16.1 Member-Initiated Cancellation 

After the minimum commitment period (Section 5), members may cancel their membership at any time by providing written notice at least thirty (30) calendar days before the next Billing Date. Written notice may be delivered by: 

1. Email to info@ivyloungewellness.com. 

1. Written request submitted in person at the front desk. 

1. Through the membership portal, if available. 

Cancellation requests submitted by phone without written confirmation are not accepted. 

If notice is received before the Billing Date, the membership will end at the close of the current billing cycle. If notice is received on or after the Billing Date, one additional billing cycle will be processed, and the membership will end at the close of that cycle. The Member retains full access to all membership benefits and credits through the final day of the membership. 

All unused credits expire on the membership end date. No refund, payout, or cash equivalent will be provided for unused credits. 

16.2 Cancellation During Minimum Commitment 

If a Member requests cancellation before completing the three (3)-month minimum commitment, the request will be noted but will not take effect until the end of the third billing cycle. The Member remains responsible for all monthly charges through the completion of the minimum commitment period. 

17. Clinic-Initiated Termination 

Ivy Lounge reserves the right to terminate any membership immediately and without prior notice for cause, including but not limited to: 

1. Non-payment of fees (after expiration of the Grace Period described in Section 7). 

1. Violation of clinic policies, safety protocols, or staff directives. 

1. Abusive, threatening, harassing, or inappropriate behavior toward staff, providers, or other patients. 

1. Submission of fraudulent information. 

1. Medical determination by the supervising provider that continued services are contraindicated for the Member’s health and safety. 

1. Any other reason at Ivy Lounge’s sole discretion. 

In the event of clinic-initiated termination for cause, no refund of the current billing cycle will be issued. All credits expire immediately. Founders’ Rate, if applicable, is permanently forfeited. 

In the event of clinic-initiated termination without cause, Ivy Lounge will provide thirty (30) days’ written notice and refund any prepaid fees for the period beyond the termination date. 

18. No-Show and Late Cancellation Fees 

The following fees apply to all membership tiers and all service types: 

• First offense: a courtesy waiver will be applied. No fee is charged for the first late cancellation or no-show. 

• Second offense and beyond: the applicable fee is charged automatically to the payment method on file. 

• NAD+ Protocol members receive one (1) additional no-penalty cancellation per quarter (late cancellation or no-show fee waived once per quarter), in addition to the first-offense courtesy waiver. 

These fees are separate from and in addition to any credit expiration. The credit returns to the Member’s account regardless of whether a fee is assessed. 

19. Founders’ Rate Program 

The Founders’ Rate is a promotional rate available to the first fifty (50) Members to enroll across all tiers. Founders’ Rate members receive a ten-dollar ($10.00) per month discount on the standard rate of their enrolled tier. 

19.1 Founders’ Rate Conditions 

• The Founders’ Rate is locked for the life of the Member’s continuous, uninterrupted membership. 

• The Founders’ Rate survives: membership freeze, tier upgrade, tier downgrade, and NAD+ dose tier changes. 

• The Founders’ Rate is permanently lost upon cancellation of the membership for any reason, including voluntary cancellation, payment failure lapse (beyond the 7-day Grace Period), and clinic-initiated termination. 

• Once lost, the Founders’ Rate cannot be reinstated, even if the Member re-enrolls. 

• The Founders’ Rate applies only to the monthly membership fee and does not affect service-level discounts, retail pricing, or add-on pricing. 

• The Founders’ Rate does not stack with promotional discounts or other offers. 

• Founders’ Rate status is non-transferable. 

20. NP Wellness Consultations 

Certain membership tiers include NP Wellness Consultations as a benefit. These consultations are non-diagnostic wellness assessments conducted by the on-site Nurse Practitioner. 

NP Wellness Consultations do not establish a primary care patient-provider relationship. The NP may provide general wellness guidance, review supplement regimens, discuss lifestyle modifications, and make referrals to primary care providers when clinically appropriate. Consultations are not a substitute for care from a licensed physician. 

Unused NP consult credits expire at the end of the applicable period (monthly or quarterly) and do not roll over. 

21. Rate Changes 

Ivy Lounge reserves the right to adjust standard membership rates upon sixty (60) days’ written notice to affected Members. Founders’ Rate members are exempt from rate increases for as long as they maintain continuous enrollment. 

Non-Founders’ members may cancel without penalty if they do not agree to a rate increase, provided cancellation notice is submitted within fifteen (15) days of receiving the rate-change notice. The minimum commitment period (Section 5) does not apply to cancellations made under this provision. 

22. Medical and Clinical Disclaimer 

Membership at Ivy Lounge does not establish a primary care patient-provider relationship. Services are elective wellness services and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Members with underlying health conditions are advised to consult their primary care physician before initiating IV therapy, IM injections, NAD+ infusions, or other wellness services. 

All IV therapy services are contraindicated for individuals with renal failure or significant renal impairment, among other contraindications disclosed during the intake and consent process. Members are responsible for disclosing all relevant health information during intake. 

Ivy Lounge operates as a cash-pay wellness clinic. No services are billed to insurance, Medicare, Medicaid, or any other government or private health plan. Members are solely responsible for all charges. 

23. Texas Auto-Renewal Disclosure 

IMPORTANT: THIS MEMBERSHIP AUTOMATICALLY RENEWS EACH MONTH. Pursuant to Texas Business and Commerce Code, Chapter 601 (the “Automatic Renewal Law”), you are entitled to the following disclosures: 

• Your membership will automatically renew on a monthly basis at the rate specified in Section 3 (or Section 19 for Founders’ Rate members) unless cancelled in accordance with Section 16. 

• Renewal charges will be applied to the payment method on file. 

• To cancel, you must provide thirty (30) days’ written notice as described in Section 16. 

• You may cancel at any time after the minimum commitment period. 

24. Governing Law and Dispute Resolution 

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any dispute arising under this Agreement that cannot be resolved informally shall be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. Nothing herein prevents either party from seeking injunctive relief in a court of competent jurisdiction. 

Nothing in this Agreement limits any rights you may have under the Texas Deceptive Trade Practices — Consumer Protection Act (Tex. Bus. & Com. Code, Chapter 17) or other applicable law. 

25. Severability and Entire Agreement 

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. This Agreement, together with all incorporated documents (Billing Authorization and Auto-Charge Consent Form, Refund and Dispute Policy, and any tier-specific addenda), constitutes the entire agreement between the parties with respect to membership and supersedes all prior oral or written representations.
